Terms and Condititions THE FOLLOWING ARE THE TERMS AND CONDITIONS OF THE WEBSTORE GROUP (herein known as TWSG) TO LICENSE A TWSG WEBSITE (as defined below), OR TO USE THE TWSG ONLINE STORE (as defined below), YOU ARE REQUIRED TO AGREE TO THE FOLLOWING TERMS AND CONDITIONS. PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE TWSG PRODUCTS AND SERVICES ON this WEBSITE. BY CLICKING ON THE BOX NEXT TO THE PHRASE "WebStore License Agreement", YOU ARE AGREEING TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS, AS AMENDED FROM TIME TO TIME BY TWSG (THE "AGREEMENT"). IF YOU DO NOT AGREE, YOU WILL NOT BE ABLE TO LICENSE A TWSG WEBSITE OR USE THE TWSG ONLINE STORE. 1. Definitions. In this Agreement, the following Capitalized terms shall have the meanings ascribed to them below: a. "TWSG WEBSITE" means any pre-designed, customizable TWSG website template licensed by TWSG to end users through the TWSG website (currently located at the URL www.thewebstoregroup.com) for a one-time license fee. b. "TWSG ONLINE STORE" means the TWSG on-line tool that allows customers to access their TWSG WEBSITE, add/modify content, upload images and make generic changes to their TWSG WEBSITE. Abuse We reserve the right to refuse to post or to remove any information or materials, in whole or in part, that, in our sole discretion, are unacceptable, undesirable, or in violation of this Agreement. For example: (a) material that violates local, state, federal or international laws; (b) any material that violates or infringes in any way the rights, including copyrights, trademark rights or other intellectual property rights of any third party; (c) hate propaganda; (d) fraudulent material or fraudulent activity; (e) any material that is threatening, abusive, harassing, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane, indecent, or otherwise objectionable or inappropriate as determined by TWSG at its sole discretion; (f) any material that promotes, encourages, or provides instructional information about illegal activities; (g) any software, information, or other material that contains a virus, "Trojan Horse," corrupted data; or (h) any software or information to promote or utilize software or any of TWSG's services to deliver unsolicited email. We reserve the right to disconnect accounts without warning if (in our sole discretion) the abuse is serious and deliberate. Payment. Billing for the TWSG WEBSITE license shall be by valid credit card (acceptable to TWSG) at the time of purchase. If you elect to subscribe to the TWSG ONLINE STORE, your monthly payments for the same will be automatically charged to the credit card provided by you (and acceptable to TWSG) at the time of your purchase (with such payments being charged in advance on a monthly basis, excluding any applicable free trial periods, if any) Refund Policy If within seven days of paying for the TWSG Online Stores you change your mind, we will issue a full refund. Please make a request for a refund by one of the following methods: * by logging on to your account and submitting a "Cancel Store" request in the Site Admin tab * using the contact form on any of our web sites * by signed fax to 818-293-0000. Please be sure to include the name of the TWSG Online Stores you wish to cancel, your name, and your login email account and password. Your refund will be issued through the payment TWSG Online Stores you used to subscribe. Termination The user is free to terminate this agreement at any time without notice by emailing this intention to us and providing evidence of identity (for example user name, domain name, and password). Your TWSG ONLINE STORE will be cancelled as of the expiration of the monthly billing cycle in which your notice was received. Limitation Of Liability TWSG makes no representations as to the suitability of any of the information contained in software programs, documents and related graphics on www.thewebstoregroup.com web site for any purpose. All such software programs, documents and related graphics are provided without warranty of any kind. In no event shall TWSG be liable for any damages whatsoever, including special, indirect or consequential damages, arising out of or in connection with the use or performance of information available from the TWSG Online Stores provided. Development & Modification In line with our policy of continuous improvement TWSG reserves the right to modify the features and functionality of the TWSG Online Stores at any time Recourse If you are dissatisfied with the TWSG Online Stores or with any terms, conditions, rules, policies, guidelines, or practices of TWSG in operating the www.thewebstoregroup.com web site, your sole and exclusive remedy is to discontinue using the TWSG Online Stores. Indemnity You agree to defend, indemnify and hold TWSG harmless from any and all liabilities, costs and expenses, including reasonable legal fees, related to any violation of this agreement by you or users of your account, or in connection with the use of the TWSG Online Stores or the Internet or the placement or transmission of any message, information, software or other materials on www.thewebstoregroup.com web site or on the Internet by you or users of your account. Security You are responsible for all use of your accounts and the confidentiality of your password. Should you feel that your password has become compromised you should contact us immediately. We will suspend the account or change access permission upon notification that your password has been stolen, lost, or otherwise possibly compromised.
